These Terms of Service ("Terms") govern your use of Navi ("we," "our," or "us"), a job matching and recruiting platform. We operate in the United States and Switzerland. By creating an account or using our services, you agree to these Terms and our Privacy Policy.
1. Description of Service
Navi provides a platform connecting job candidates with employers. Candidates can create profiles, upload resumes, apply to jobs, and receive AI-assisted fit assessments. Employers can post jobs, review applications, and manage hiring. Our service is provided "as is" and we do not guarantee job placements or employment outcomes.
2. Account Registration and Obligations
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must be at least 16 years old to use our service. You agree to notify us promptly of any unauthorized access.
3. User Conduct
You agree not to:
- Provide false, misleading, or fraudulent information in your profile or applications
- Impersonate any person or entity
- Harass, discriminate, or engage in unlawful conduct toward other users
- Scrape, copy, or misuse data from the platform without permission
- Use the service for any illegal purpose or in violation of applicable laws
- Attempt to circumvent security measures or gain unauthorized access
- Interfere with the proper functioning of the platform
4. Candidate Obligations
As a candidate, you represent that the information and materials you submit (including resumes and applications) are accurate, truthful, and that you have the right to use them. You understand that employers may use third-party tools to verify your information. You grant employers the right to use your application materials for hiring purposes when you apply to their jobs.
5. Employer Obligations
Employers must provide accurate job postings, comply with applicable employment laws, and use candidate data only for legitimate hiring purposes. Employers are responsible for their own hiring decisions and compliance with equal opportunity and anti-discrimination laws.
6. Intellectual Property
Navi owns all rights to the platform, including software, design, and branding. You retain ownership of content you submit (e.g., resume, profile text). By submitting content, you grant us a non-exclusive, royalty-free license to use, store, and display it in connection with providing the service and sharing it with employers when you apply.
7. Payments and Subscriptions
Certain features may require payment. Payment terms, refunds, and subscription management are handled through our payment provider (Stripe). You agree to provide valid payment information and authorize charges according to the selected plan. Subscription terms and cancellation policies are disclosed at the time of purchase.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE JOB OFFERS, EMPLOYMENT, OR ANY PARTICULAR OUTCOME. AI-GENERATED INSIGHTS (E.G., FIT SCORES) ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE EMPLOYMENT ADVICE. WE ARE NOT RESPONSIBLE FOR EMPLOYER CONDUCT, HIRING DECISIONS, OR THIRD-PARTY SERVICES.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NAVI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS, WHICHEVER IS GREATER. SOME JURISDICTIONS (INCLUDING SWITZERLAND) DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM PERMITTED BY LAW.
10. Indemnification
You agree to indemnify and hold Navi, its affiliates, and their respective officers, directors, and employees harmless from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.
11. Termination
We may suspend or terminate your account for violation of these Terms or for any other reason at our discretion. You may delete your account at any time through account settings. Upon termination, your right to use the service ceases. Provisions that by their nature should survive (e.g., disclaimers, limitation of liability, indemnification) shall survive termination.
12. Governing Law and Disputes
United States users: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
Switzerland users: These Terms are governed by the laws of Switzerland. Any disputes shall be subject to the exclusive jurisdiction of the courts of Zürich, Switzerland, subject to mandatory consumer protection provisions in your place of residence.
13. Changes to Terms
We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Continued use of the service after changes constitutes acceptance. If you do not agree, you must stop using the service and may delete your account.
14. General
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Navi. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right. You may not assign these Terms; we may assign them without restriction.
